Belgian banking and insurance group KBC has agreed to acquire a 70 per cent stake in Bulgarian insurer DZI Insurance for EUR 185 mln, news agency Reuters reported on Tuesday, January 30. KBC, which considers central and eastern Europe to be a second home market, is buying the Balkan country's leading insurer with market share in general and life insurance of 17.7 and 26.4 per cent respectively, said Reuters. The Belgian company plans to launch a public bid for the remaining 30 per cent, which are floated on the Bulgarian stock exchange. This is its first major acquisition of an insurance company since the expansion of the European Union in 2004. DZI said the Belgian group beat France's Axa and Groupama as well as Dutch insurer Eureko for the deal. 'The achieved price is very good, especially in light of the situation of the insurance market in Bulgaria,' DZI Insurance executive director Valeri Aleksiev was quoted as saying by the news agency. Under the terms of the deal, KBC will also pay about EUR 75 mln to Kontrakt Sofia, an amount equal to 70 per cent of the undistributed capital gain proceeds received by DZI Insurance for the sale of its stake in DZI Bank . 'As part of the deal, KBC will also acquire DZI Invest, a securities broker active on the Bulgarian Stock Exchange,' KBC said in a statement. The deal is subject to approval by the Bulgarian regulatory authorities and DZI said the deal would most likely be finalised in two to three months. KBC has already built up a presence in the Czech Republic, Hungary, Poland and Slovakia. It recently announced acquisitions in Romania and is also set to take a majority stake in a bank in Belgrade.

Eleven banks in Bulgaria have secured themselves financing exceeding BGN 570 million through the issue of bonds. These include Allianz Bulgaria, Bulgarian-American Credit Bank, Investbank, MKB Unionbank, United Bulgarian Bank, Postbank, NLB West-East Bank, First Investment Bank, Raiffeisenbank, Economic and Investment Bank, and Texim. The number of bond issues floated by all listed companies in Bulgaria tops 70, their total amount is more than BGN 1 billion. This type of financing is used mainly for the development of core activities and modernisation. According to specialists, the big share of banks is due to the credit boom. First in bond financing is Bulgarian-American Credit Bank with BGN 143 million raised from five issues. It is followed by United Bulgarian Bank with BGN 120 million and Raiffeisenbank with BGN 100 million. Despite the increase in the number of new issues, some financial experts say that the bond market in Bulgaria is still poorly developed and is yet to achieve its full potential. Bonds are considered a lower-risk financial instrument and attract the attention mainly of institutional investor: pension funds, banks and collective investment schemes. Another feature of the Bulgarian bond market is the difficult access of smaller investors to the initial non-public offerings.

Crisis pummels 2009 profits of 22 Bulgarian banks Bulgaria’s banking sector rounded off 2009 at a profit but 22 out of the 33 market players have turned in a worse performance than a year earlier as the crisis rumbled on. Data by the Bulgarian National Bank (BNB) revealed that banks have suffered deterioration of between 8% and a staggering 79%, with West-East Bank plummeting almost 225% after it swung to a BGN 3.9 million loss from a profit of BGN 3.1 million for 2008. Six banks have pulled off better performance including Corporate Commercial Bank, ProCredit Bank, Citibank Sofia Branch, International Asset Bank, Teximbank, Bulgarian Development Bank and Central Cooperative Bank. Alpha Bank Sofia Branch and Emporiki Bank have seen profits stage precipitous drops from BGN 68.9 million to BGN 23.1 million, and from BGN 7.024 million to BGN 3.7 million, respectively. Banks’ write-down costs stood at BGN 1.040 billion in 2009, a whopping increase from BGN 330.5 million for the previous year as both firms and households scrambled to pay fat loans handed out when lending was all abuzz. Overdue loans are creeping up, with loans with delays of over 30 days hitting 13.64% of the total gross volume. Loans which are more than 90 days overdue speak for 6.42% of the combined portfolio. The banking system posted an unaudited profit of BGN 780 million for 2009 versus BGN 1.4 billion for 2008. Assets added up to BGN 70.9 billion, up 1.9% year-on-year.

Lending rates in Bulgaria could resume creeping up to reflect the higher credit risk, a senior industry representative warned yesterday. Assen Yagodin, deputy board chairman of the Association of Banks in Bulgaria (ABB) and CEO of Postbank, told an industry conference that the cost of consumer loans provided by local lenders should be affected by a new legislative provision enabling borrowers to return consumer loans within 14 days from taking without giving an explanation or paying a penalty fee. He noted that all measures being implemented in the Bulgarian banking sector legislation are designed to protect borrowers but not creditors. For example, the law allows some business loan borrowers to retroactively announce insolvency before the date of taking the loan, which means that the liabilities are left with the bank. Unless this legislative deformity is resolved, loan interest rates will go up because the higher credit risk translates into a higher loan price, he explained. Yagodin said that loan rates dropped by 0.8% year-on-year in August, whereas deposit rates grew by 0.9% over the same period. In other words, banks are taking in the consequences of the crisis, according to Yagodin. “If one bothers to calculate the average interest rates on deposits and loans for businesses and households for the past two years, one will see that all this talk about unjustified high loan rates are groundless,” he added. ABB said a raft of Bulgarian banks will finish 2010 in the red but assured that the overall sector would remain in positive territory thanks to reserves accumulated from prior years and high liquidity.

The Bulgarian banking sector recorded a 30% annual drop in their profit for the first nine months of 2010 to BGN 476.4 million profit, with the country's five largest banks contributing for 74.5% of the total. Data by the Bulgarian National Bank (BNB) showed that the BGN 14 million bottomline in September alone was the lowest registered for the last years. The result was a decrease from a profit of BGN 61 million in August and BGN 50 million in July. The contraction in banks' profit stems from the rising write-offs, with provisions for them growing to BGN 947 million as at end-September against BGN 794.9 million a month earlier and BGN 566 million at the end of the second quarter. Meanwhile, bad loans accounted for 10.61% of local banks' total portfolios compared with 9.45% in June and 7.8% in March. Despite the increase, BNB notes that "the levels of credit risk are manageable". The growth in sour loans in the first nine months of the year was accompanied by a low credit activity in the system. In addition, the slight improvement in corporate loans observed in the second quarter was not preserved in the July-September period. "The growth in corporate loans (2.3% to BNG 33.58 billion) was influenced by the return of the balance in the system of previously sold loan portfolios," the central bank said. Housing mortgages registered edged up 0.7% to BGN 9.15 billion, while consumer credit contracted 1.1% compared with the previous three-month period. The sector's total assets rose 1.6% for July to September to BGN 72.1 billion on the back of loan repurchases. According to BNB, "the implemented measures by credit institutions to further strengthen their capital positions is a prerequisite for maintaining the adequacy ratios and capital buffer in the system", which reached BGN 3 billion. The central bank further highlighted that domestic banks comply with the recommended level of liquidity and thus the ratio of liquid assets to liabilities remained unchanged from June at 22.2%. The report also shows that seven of Bulgaria's financial institutions ended the nine-month period in the red, exceeding the number of banks to report a loss in the second quarter, including Regional Investment Bank, Bulgarian American Credit Bank, Tokuda Bank, NLB Bank, Ziraat Bank, Emporiki Bank and Alfa Bank.

Banking system profits decrease by over 20% to BGN 617 mln The profits of the domestic banking system decreased by over 20% last year, according to the Bulgarian National Bank (BNB). Financial institutions in the country ended 2010 with an unaudited profit of BGN 617 mln, or BGN 163 mln down from 2009. According to BNB experts, although lower than the previous year, this is a sort of additional capital protection. Data showed that in a year, depreciation expenditures rose by 26% to BGN 1.31 bn but, nevertheless, revenues from main activities covered the increased risk and costs. At the end of December, non-performing loans overdue for more than 90 days reached 11.9% of the total volume of credits, almost double the level from a year earlier when their share was 6.42%, according to BNB statistics. According to financial institutions’ reports presented by BNB, only two banks in our country ended 2010 with profits exceeding BGN 100 mln – UniCredit Bulbank and DSK Bank, with BGN 158.7 mln and BGN 130.58 mln, respectively. In 2008, three banks reported profits of more than BGN 200 mln, and in 2009, three financial institutions had profits exceeding BGN 100 mln. An interesting shift was observed in the following positions, Corporate Commercial Bank displacing United Bulgarian Bank (UBB) from the third place and achieving a 23% profit growth to BGN 74.4 mln. Let us remind our readers that this financial institution ranked 8th in terms of profits in 2008 and climbed to the 4th position in 2009. Meanwhile, the profit of UBB shrank by 26.5% to BGN 73.6 mln.

As many as five Bulgarian banks accounted for two thirds of the overall profit of the country's banking system in the first nine months of 2011, Bulgarian National Bank (BNB) data showed. Bulgarian banks' combined profit stood at 484.5 million leva in January-September, with UniCredit Bulbank, DSK Bank, Raiffeisenbank, Piraeus Bank and Corporate Commercial Bank accounting for 371.6 million leva of the total. A total of nine banks suffered losses in the period. The eight banks that recorded negative results in the second quarter were joined by the domestic branch of Turkey's Isbank, which started operations in the country in the summer. The remaining financial institutions to register losses in the period were Investbank (6.8 million leva), Bulgarian American Credit Bank (16.5 million leva), Regional Investment Bank (349 000 leva), NLB Banka Sofia (3.7 million leva), Ziraat Bank (227 000 leva), Emporiki Bank (5.976 million leva), Teximbank (1.4 million leva) and Alfa Bank, Sofia branch (30.4 million leva). The branch of Greece's Alpha Bank has been reporting losses for several consecutive years. Originally, the negative result was attributed to the bank's robust network expansion and consequently to its foray in the retail banking business and the effects of the financial crisis. Emporiki Bank, part of French banking group Credit Agricole, as well as NLB Banka Sofia and Regional Investment Bank, have also been reporting negative figures since their entry on the Bulgarian market. Investbank, which registered a loss for a third quarter in a row, has managed to keep the result almost unchanged compared to the previous three-month period. BACB, however, saw its net loss widen by about two million leva on 2010. Twelve banks reported a rise in earnings with some of the entities enjoying significant annual growth. MKB Unionbank and ProCredit Bank, for example, boosted their bottom lines by nearly three times to 4.9 million leva and seven million leva, respectively. The profit of Allianz Bank surged more than 10 times in January-September to 9.8 million leva compared to the year-earlier period. Societe Generale Expressbank reported an increase in net profit of almost 90 per cent to 38.6 million leva. The lower income of domestic banks, stemming from tight lending and rising costs for bad loan provisions, are the main reasons behind the low profits or losses of domestic banks. However, the number of banks to record losses has remained relatively stable in the past three years and the banking system as a whole has been profitable.

Chimimport Group buys fifth leasing company The Chimimport Group may soon become the market leader in leasing. Until recently, two of the companies close to the smaller bank in the group - Texim Bank - were developing in this segment. Between 2015 and last year they bought four leasing companies - the Austrian Erste Group Immorent, Piraeus Leasing, BM Leasing and TBI Rent. The two leasing companies, close to the group - Leasing Finance and BM Leasing, have a total income of BGN 47.6 million, making them third in market share in Bulgaria. At the same time, however, the financial group around Central Cooperative Bank, which also had a leasing company through the insurance company Armeec, had not decided to expand its business. This, however, will change because the subsidiary of the insurer - Armeec Leasing has submitted documents to the Commission for Protection of Competition asking for permission for the purchase of ERB leasing - a leasing company of Postbank. Unlike Armeec Leasing, which until now developed a relatively niche business, ERB has a large portfolio and is 11th in market share.

Three Bulgarian banks will support their capital and business projects with fresh capital Three Bulgarian banks - First Investment Bank, Teximbank and TBI Bank are planning to support their capital and business projects by attracting fresh capital. They have submitted documents to the Financial Supervision Commission for the issue of new shares or bonds. However, on February 20, the regulator suspended the first attempt of First Investment Bank AD, refusing to issue a prospectus confirmation for the initial public offering of shares. Currently, FIBank's capital amounts to BGN 110,000,000, distributed in the same number of shares with a face value of BGN 1 each. Fibank plans to accumulate up to BGN 200 million through the Bulgarian Stock Exchange AD. The move was one of the measures to meet the demands of the European Central Bank to fill the capital shortfall of EUR 263 million. The Financial Supervision Commission has sent a letter to Teximbank AD, Sofia, requesting additional information and documents regarding the confirmation of a prospectus for public offering and admission to trading on a regulated market of convertible unsecured bonds. In early February, the FSC decided to extend the deadline for TBI Bank EAD to submit a revised prospectus for initial public offering and admission to trading on a regulated market of an issue of subordinated, unsecured bonds. TBI Bank's ambitious goal is to become a digital bank with a wide range of online and mobile consumer and lending solutions for SMEs.

TBI is the first bank in Bulgaria to issue second-tier public bonds TBI Bank has successfully issued a ten-year bond issue of EUR 10 million with conditions aimed at meeting the Tier 2 capital requirements of Regulation (EU) ¹ 575/2013. The bonds have a unit nominal value of EUR 100,000 and were aimed mainly at institutional and professional investors. The annual interest rate is fixed at 5.25%. Thus, TBI Bank once again proves its ambition to constantly challenge the established norms of our financial market and to set a standard that other Bulgarian banks could follow. "The reason we are publicly issuing subordinated bonds is our intention to optimize the capital structure of TBI Bank and to support our business development," said Lucas Tursa, senior vice president of TBI Bank. "We have received very positive feedback from investors - they liked the progress of our digital transformation, and especially the many business and financial results of TBI Bank in recent years." Accordingly, it is not surprising that there was an oversubscription for the proposed bonds. "Unfortunately, we were not able to fully fulfill all investor requests because we had to meet our planned limit of EUR 10 million. The final list of investors is well diversified and includes pension funds, insurance companies, banks, fund managers and professional investors. "We also registered interest from private investors, for whom this instrument proved to be a good alternative to deposits. Because of our focus on professional investors, we had to divert this interest," Tursa added. An application for registration of the bonds for trading on the Bulgarian Stock Exchange will be submitted soon.

The largest banks by assets in Bulgaria Data from the Bulgarian National Bank (BNB) showed that the leader in terms of assets remains United Bulgarian Bank (UBB) in 2024. It took this position in the second quarter of 2023, after the merger with KBS Bank – the successor to Raiffeisenbank Bulgaria – was finalized. UBB consolidated its leadership position, reporting a 10% annual growth in assets to BGN 37.5 billion. The second position this year is again for DSK Bank, whose assets increased by over 11% to BGN 36.5 billion. Although it is still BGN 1 billion behind the leader, compared to the previous year, the bank, which is a subsidiary of the Hungarian OTP Bank, has managed to catch up nearly BGN 300 million of its lag. In third position this year is UniCredit Bulbank, which was the largest bank in Bulgaria for decades, but lost first place in 2022. By the end of 2024, its assets were estimated at 34.9 billion BGN and grew by 8.6% per year. Thus, the assets of the three largest banks in Bulgaria are already approaching 109 billion BGN – over 56% of the total assets of the system (191.6 billion BGN) and over 50% of the value of the entire Bulgarian economy in 2024 (202 billion BGN according to preliminary data). The fourth in terms of asset value is Postbank. It is it that also reports the largest increase – over 16% to 22.6 billion BGN. In fifth place is the largest bank with predominantly Bulgarian ownership – First Investment Bank (FIB) – with assets worth 15.8 billion BGN. Thus, the banks in the Top 5 manage assets that are estimated at nearly 77% of the entire banking system and 73% of the country's economy. Central Cooperative Bank (CCB) occupies the sixth position with assets of 9 billion leva. Seventh place goes to ProCredit Bank, which reports some of the largest growth for the year in the business segment. Allianz Bank occupies the eighth position, and the only shift in the top 10 is at tbi bank, which managed to attract attention with its significantly higher interest rates on deposits - a policy that helped it attract resources with which to accelerate lending. With this approach, at the end of 2023, the bank entered the top 10 by assets in Bulgaria, and at the end of 2024 it is already ninth with assets of 3.5 billion leva. The last bank in the top 10 is another one with Bulgarian ownership and a focus on corporate lending - Investbank - with assets of 3.5 billion leva.

Founded in Bulgaria more than a decade ago, the fintech company myPOS has grown into a network of companies in different countries headquartered in London, its customers exceeded 250 thousand, and revenues - 80 million euros. At the beginning of 2024, myPOS became the property of the American private equity fund Advent International. Consolidated data of the parent company for 2023 report revenues of 83.6 million euros, growing from 60.1 million euros a year earlier, and profit slightly decreased from 5.4 to 3.9 million euros. The total volume of transactions in 2024 increased by 30% to nearly 14 billion euros. Of these, online transactions are 273 million euros, with their number increasing by 40%. At the same time, the company's customers increased by 42%, exceeding 250 thousand merchants across Europe. Since the beginning of this year, the UK-based fintech company has made a total of four acquisitions. The first was in January, when myPOS acquired the French company Toporder, a company for cash register software and digital sales management solutions. The aim of the deal is for the Varna-based company to strengthen its position in retail and HoReCa (the hospitality, restaurant and catering industry) in France. After the acquisition by the fintech company, they have merged their own product with that of the French company, and are now offering it to businesses in the country. In March, the acquisition of the UK-based payment solutions provider UTP Group Ltd was announced. The company is a distributor and, according to him, works with over 200 merchants across the market and will sell the fintech company's products. Also in March, another distributor was acquired, but this time based in Hungary. With the purchase of IQOM, the fintech company will have a regional center for Central and Eastern Europe (CEE) in Budapest, from where it will serve 12 markets in the Baltics and the Mediterranean. myPOS has also acquired the Munich-based fintech company Lavego AG, specializing in Girocard acceptance and secure payment solutions. The fintech company, which offers payment software and POS terminals for small and medium-sized businesses, was founded in 2012 in Varna and its founders are Hristo Georgiev and Yavor Petrov. In 2017, its headquarters moved to the UK, when the company myPOS World Ltd was established. It has subsidiaries in many countries, but a large part of its real activity, as well as most of its employees, are concentrated in Bulgaria. Here the company operates through the company "MyPOS Services", and until the beginning of 2025 through "MyPOS Technologies". The revenue of the former for 2023 grew minimally to 24.8 million leva from 23.3 million a year earlier. The second, which carried out research and development activities and developed the company's technological solutions, reported 94.3 million leva and a profit of 15.2 million. Payment services in the country are provided by "Icart", the other key company founded by Hristo Georgiev. At the beginning of the year, its customers in Bulgaria were nearly 15 thousand, and in 2024 they recorded a growth of about 42 percent. The total volume of transactions increased by 63% and reached over 1.1 billion euros. 80% of myPOS's approximately 800 employees are in the country, mainly in Varna, with a hundred in its office in Sofia. Currently, myPOS's main markets are France, Italy, Bulgaria and the UK. With the acquisitions this year, the company will strengthen its presence in the UK and CEE, as well as enter Germany. In addition to its POS terminals for merchants in the UK and France, it also offers business loans, and is currently preparing to launch them in the Netherlands. A little over a year after Advent International became the owner of myPOS, in April 2025 it became clear that the American fund had signed an agreement to buy TBI Bank, with the deal likely to be completed by the end of the year. The price of the small but aggressively growing Bulgarian bank will be above its book value, i.e. at least 300 million euros.

The European Commission has cleared the US investment fund Advent International to acquire Bulgaria's TBI Bank on its own after finding that the merger would not threaten competition in the common market, as it would only affect the banking sector in Bulgaria, Greece and Romania. The Commission concluded that the deal concerns companies with limited market positions and would not raise competition concerns. TBI Bank, the ninth largest bank in Bulgaria, is owned by Dutch-registered TBI Financial Services, and the acquisition was announced in April, without disclosing the price of the deal. Advent also owns Bulgarian fintech MyPos.

The American investment fund Advent International, which last year acquired the fintech company with Bulgarian roots myPOS, has announced a new large-scale deal worth $1.3 billion to buy Swiss microchip manufacturer U-Blox. Advent International will buy its shares at a price of 135 Swiss francs per share. This represents a significant premium of 53% compared to the average share price for the last six months before the first media reports about the possible deal appeared. The deal will be implemented through a subsidiary of Advent - ZI Zenith. It is expected to be completed within the next six months. U-Blox will be delisted. U-Blox, which has been a public company since 2007 and is listed on the Swiss stock exchange SIX, is a specialized manufacturer of microchips and car navigation software. The company managed to reduce its loss before interest and taxes for the first half of the year to 7.7 million francs, compared to a 28 million loss a year earlier. Earlier this year, the company sold its cellular module manufacturing division for wireless communication to focus on navigation and positioning technologies used in cars, robots and agricultural machinery. In early June, U-Blox finalized the sale of its mobile communications business to Irish IoT company Trasna. Advent International acquired myPOS for about half a million euros in a deal that was finalized in June last year. A few days ago, the European Commission approved another acquisition of itss that is related to the Bulgarian market - that of tbi bank. The deal is expected to be finalized by the end of the year. However, the fund also has another earlier connection with our country - its associated Viva Ventures acquired BTC in 2004, only to then sell the state-owned telecom to AIG in 2007.

On an annual basis, we are seeing a noticeable increase in the BSE bond market - both in the number of issues and in the volume of funds raised. Over the past two years, bond issues on the Exchange have doubled. Investor interest in such instruments continues to grow, providing Bulgarian companies and banks with a real alternative for sustainable financing,” commented Assoc. Prof. Dr Manyu Moravenov, Executive Director of the Bulgarian Stock Exchange. “We are proud of the support we provide for the development of the local investor community and for building trust in the Bulgarian capital market, which we entered four years ago with our first public subordinated debt, and ever since, we have come to the market almost every year, achieving increasingly better results. This year alone, we placed nearly EUR 100 million. This is a great achievement for our team and a strong sign of investor confidence. We definitely won’t stop here,” added TBI Bank’s Executive Director, Lukas Tursa. Over the past four and a half years, the bank has established itself as a leader on the Bulgarian public bond market. In 2025, TBI Bank raised an additional EUR 34 million from the local public market, offering investors attractive and flexible instruments in terms of maturity and yield.
