At its meeting on 14.1.2025, the FSC decided: 1. Does not issue a final ban on the publication of a revised tender offer by Nenko Nenkov for the purchase, through the investment intermediary "UniCredit Bulbank" AD, of 4,035,650 shares (9.999767081%) of the capital of "BG AGRO" AD, city of Varna, from the remaining shareholders of the company. 2. Approves Chavdar Solakov, Rosen Stanimirov and Simeon Andonov as new members of the board of directors of "Lev Invest" REIT. 3. Approves Anastas Petrov as a member of the management board and executive director of "DZI - GENERAL INSURANCE" EAD and, respectively, of "DZI - LIFE INSURANCE" EAD. 4. Approves Lyubomir Gavrilov as Executive Director, Tatyana Staneva-Dikova as Independent Member of the Board of Directors and Fernando Lozano as Member of the Board of Directors of Barents Insurance EAD. 5. Approves Krasimir Gigov as Independent Member of the Board of Directors of SAGLASIE INSURANCE COMPANY AD. 6. Approves Independent Member of the Supervisory Board of Allianz Bulgaria AD. 7. Approves Updated Budget for the Administrative Expenses of the Investor Compensation Fund for 2024. 8. Registers Issue of Warrants Issued by Balkan Property Instruments REIT, Sofia, for Trading on a Regulated Market. The issue is in the amount of 4,499,999 dematerialized, registered, freely transferable warrants, with an issue value of BGN 0.001 per issue, with ISIN code BG9200003242, which entitle the warrant holders within a period of 5 years to exercise their right to subscribe for the corresponding number of shares of the underlying asset of the warrants at an issue value of BGN 11.00 per share, with a warrant/share conversion ratio of 1:1. 9. Enters an issue of warrants issued by Vega AD, Sofia, for trading on a regulated market. The issue is in the amount of 1,361,394 ordinary, dematerialized, registered, freely transferable warrants, with a nominal value of BGN 0.001. and an issue value of BGN 0.01, with ISIN code BG9200004240, which entitle the warrant holders to exercise within a 5-year period their right to subscribe for the respective number of shares of the underlying asset of the warrants at an issue value of BGN 70.00 per share, with a warrant/share conversion ratio of 1:1. 10. Enters an issue of warrants issued by Sever Holding AD, Varna, for the purpose of trading on a regulated market. The issue is in the amount of 3,059,996 dematerialized, registered, freely transferable warrants, with an issue value of BGN 0.01 per issue, with ISIN code BG9200005247, which entitle the warrant holders to exercise within a 5-year period their right to subscribe for the respective number of shares of the underlying asset of the warrants at an issue value of BGN 4.70 per share, with a warrant/share conversion ratio of 1:1. 11. Enters an issue of warrants issued by Dobrudzha Holding AD, Varna, for the purpose of trading on a regulated market. The issue is in the amount of 12,741,760 dematerialized, registered, freely transferable warrants, with an issue value of BGN 0.001 each warrant, with ISIN code BG9200006245, which entitle the warrant holders within a period of 5 years to exercise their right to subscribe for the corresponding number of shares of the underlying asset of the warrants at an issue value of BGN 7 per share, with a warrant/share conversion ratio of 1:1. 12. Recognizes the qualification acquired by Fadi Ahmad for exercising activities as an investment consultant. 13. Deletes "Insurance Broker SP Technology" EOOD from the register of insurance brokers. 14. Adopts on first vote a draft ordinance amending and supplementing regulatory acts of the Financial Supervision Commission. 15. Adopts a draft regulation amending the Regulation on the structure and operation of the Guarantee Fund at first vote. 16. Complies in its supervisory practice with the Guidelines on supervisory cooperation between European Supervisory Authorities and competent authorities (JC/GL/2024/36), issued jointly by the European Securities and Markets Authority, the European Insurance and Occupational Pensions Authority and the European Banking Authority, as of 17.01.2025. 17. Sends notifications to the competent authorities of the Federal Republic of Germany, the Republic of Austria, the Republic of Romania and the Republic of Greece in connection with the intention of "CARGOFORT" OOD to carry out insurance brokerage activities under the conditions of freedom to provide services in the respective territories. 18. Sends a letter to "AFRANGA" EOOD requesting additional information and documents in connection with the issuance of approval for a procurator of the company.
