At its meeting of 5.3.2026, the FSC decided: 1. Approves a prospectus for an initial public offering of an issue of warrants to be issued by "Republika Holding" AD, Sofia. The issue is in the amount of up to 14,690,752 ordinary, dematerialized, registered, freely transferable warrants, with an issue value of 0.10 euros, with ISIN code BG9200001261, which entitle the holders of the warrants to exercise their right to subscribe for the respective number of shares - the underlying asset of the warrants at an issue value of 1.60 euros per share, which the company will issue upon a subsequent increase in its capital. The rights under the warrants may be exercised on the 1,096th day from the date of their issuance, and may be exercised earlier only upon transformation of the company pursuant to Chapter Sixteen of the Commerce Act or upon registration of a tender offer under Art. 149 and/or Art. 149a of the Public Offering of Securities Act to the shareholders of the company. After the exercise date, the rights under the warrants not exercised shall be extinguished. Enters the specified issue of warrants, subject to an initial public offering, in the process of issuance, in the register of public companies and other issuers of securities. 2. Approves Todor Danailov as a member of the Management Board and Executive Director of Barents Insurance EAD. 3. Sends notifications to the competent authorities of the Republic of Italy, the Republic of France, the Republic of Portugal, the Republic of Austria and the Kingdom of Spain regarding the intention of "TRUST.BG" EOOD to carry out insurance brokerage activities under the freedom to provide services in the territories of the respective countries.
