Eurohold Bulgaria AD, the largest public energy holding company in Bulgaria—which owns the Electrohold group and Solars Energy EAD—has initiated a procedure to list its shares on the Frankfurt Stock Exchange, following a decision by the company’s Management Board. The process entails registering the shares for trading on the Frankfurt Stock Exchange’s top-tier sub-segment, the "Prime Standard." Currently, Eurohold shares are traded on the premium segment of the Bulgarian Stock Exchange (BSE) and on the main market of the Warsaw Stock Exchange (WSE). The Frankfurt Stock Exchange, owned by Deutsche B?rse AG, is one of the world’s largest and most established stock exchanges, serving as the primary securities market in Germany. Its DAX index is the country’s benchmark stock market index, reflecting the performance of the 40 largest and most liquid companies in Germany. Frankfurt serves as Germany’s financial capital and stands as one of the world’s most significant global economic hubs. The procedure for admitting the company’s shares to the Frankfurt Stock Exchange involves the listing of all 520,940,000 (five hundred and twenty million nine hundred and forty thousand) ordinary, non-preferred, registered, book-entry, freely transferable shares of Eurohold, bearing ISIN code BG1100114062. Each share carries one vote at the General Meeting of Shareholders and has a nominal value of EUR 0.51. Under European Regulation (EU) 2017/1129, a prospectus is not required for admission to trading; consequently, the holding company’s Management Board has approved the preparation of an "information document"—modeled on Annex IX to the Regulation—which contains the essential information investors need to understand the nature of the company, the associated risks, and the securities themselves. This document will be submitted to the Bulgarian regulator, the Financial Supervision Commission (FSC), and made publicly available. Applications for admission to trading on the Frankfurt Stock Exchange will also be filed for shares resulting from future capital increases of Eurohold—including, but not limited to, those arising from the exercise of rights attached to warrants already issued by the holding company (ISIN BG9200007243 and ISIN BG9200002269)—in accordance with the applicable legislation of the Federal Republic of Germany. The Bulgarian and German investment firms, Sustainable Business Solutions EAD and Wolfgang Steubing AG, will serve as consultants and coordinators for the listing of Eurohold shares on the Frankfurt Stock Exchange. The necessary contracts and agreements to facilitate cross-border settlement and the commencement of trading are yet to be signed.
