Neohim AD (NEOH) Neohim AD (NEOH) regularly convenes the General Meeting of Shareholders on 21.06.2024 at 12.00 in the city of Dimitrovgrad, 3 Khimkombinatska St., with the following agenda: - Reports of the management bodies on the company's activities in 2023 (individual and consolidated); - Adoption of the company's annual financial statements for 2023 (individual and consolidated); - Reports of the registered auditor for 2023; - Report of the Audit Committee for 2023; - Report of the Director of Investor Relations for 2023; - Acceptance of a report on the implementation of the Policy on the remuneration of the members of the governing bodies; - Release of the members of the governing bodies from responsibility for their activities in 2023; - Election of a registered auditor for 2024; - Decision on distribution of financial result. Draft decision: The loss for 2023 in the amount of BGN 35,301,486.93 should be covered by the funds in the Additional Reserves fund; - Approval of the Reasoned Report of the Management Board under Art. 114a, para. 1 and Art. 114a, para. 6 of the Civil Code on the conditions and expediency of a transaction under Art. 114, para. 1 of the Civil Code - distribution contract between Neochim AD - Seller and Euro Fert AD – Distributor, under conditions described in detail in the appendices to the materials for the OSA motivated report; - Approval of the Reasoned Report of the Management Board in the sense of Art. 114a, para. 1 and Art. 114a, para. 6 of the Civil Code on the conditions and expediency of a transaction under Art. 114, para. 1 of the Civil Code - asset acquisition transaction between Neochim AD - Buyer and Asenova Krepost AD - Seller under a framework contract for sale, under conditions detailed in the appendices to the materials for the OCA motivated report. - In the absence of a quorum, the meeting will be held on 08.07.2024 at 12.00 at the same place and with the same agenda. The right to vote in the General Meeting of Shareholders is exercised by the persons registered as such with the right to vote in the central register of securities 14 days before the date of the General Meeting of Shareholders, or as of 06.07.2024. The last date for concluding transactions with shares of this company on the Stock Exchange, as a result of which the acquirer will be able to exercise the right to vote in the General Meeting of Shareholders, is 06.05.2024.
